Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

1.3 Account Security

You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. We encourage you to use "strong" passwords (passwords that use a combination of uppercase and lowercase letters, numbers, and symbols) with your account.

1.4 Unauthorised Account Use

2. Key Commercial Terms

2.1 Service Description

London SEO provides digital marketing and search engine optimisation services designed to improve clients' online visibility and business performance. Our specific offerings include keyword research, on-page optimisation, content creation, link building, technical SEO audits, local SEO, and digital PR campaigns.

2.2 Fees and Payment

Fees for our Services are set forth in the service agreements or proposals provided to clients. Unless otherwise stated:

  • All fees are quoted in British Pounds (GBP)

  • Payment terms are 30 days from invoice date

  • We accept payment via bank transfer, credit card, and direct debit

  • Recurring services will be billed monthly in advance

2.3 Term and Termination of Services

Service agreements are typically for an initial term of 6 months, unless otherwise specified in your service agreement. After the initial term, agreements will automatically renew for successive periods of equal length.

Either party may terminate a service agreement with 30 days' written notice prior to the end of the current term. Additional termination provisions may be included in individual service agreements.

3. Retention of Right to Change Offering

3.1 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice to you. This includes the right to:

  • Add, modify, or remove features or functionality

  • Adjust pricing structures for future service periods

  • Update methods, processes, or approaches to service delivery

  • Introduce new services or discontinue existing ones

 

3.2 Website Changes

We may update the content on our Website from time to time, but its content is not necessarily complete or up-to-date. Any of the material on the Website may be out of date at any given time, and we are under no obligation to update such material.

4. Warranties and Responsibility for Services

4.1 Service Delivery

We will provide our Services with reasonable care and skill in accordance with industry standards. We will make reasonable efforts to meet any performance dates specified in service agreements, but any such dates shall be estimates only.

EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

4.3 No Guaranteed Results

While we strive to improve the search engine visibility and digital marketing performance of our clients, we do not guarantee specific rankings, traffic increases, or business outcomes. Search engines regularly change their algorithms and policies, which can affect results.

5. Intellectual Property Rights

5.1 Agency Intellectual Property

All content, features, and functionality of our Website, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of London SEO, our licensors, or other providers of such material and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5.2 Client Materials

Any materials, data, or information provided to us by clients ("Client Materials") remain the property of the client. Clients grant us a license to use, reproduce, and modify Client Materials solely for the purpose of providing our Services.

5.3 Deliverables

Unless otherwise specified in a service agreement, clients receive a non-exclusive, worldwide license to use deliverables created by us as part of our Services for their intended business purposes. We retain ownership of all intellectual property rights in such deliverables, including methodologies, know-how, and generic components that are not unique to the client's business.

5.4 Restrictions

You may not:

  • Use our trademarks or service marks without our prior written consent

  • Reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from our Website without our permission

  • Use any automated means to access or collect data from our Website

  • Engage in any activity that interferes with or disrupts the Services

6. Suspension or Cancellation of Accounts

6.1 Grounds for Suspension or Termination

We may, in our sole discretion, suspend or terminate your access to all or part of our Website and Services, without notice, for any conduct that we, in our sole discretion, believe violates these Terms, is harmful to other users, to us or our partners, or for any other reason.

You agree to defend, indemnify, and hold harmless London SEO, our affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable solicitors' fees) arising out of or relating to:

  • Your use of the Services

  • Your violation of any rights of a third party

  • Client Materials that infringe upon the rights of others

8. Limitation of Liability

8.1 Exclusion of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LONDON SEO, OUR DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Services

  • Any conduct or content of any third party on the Services

  • Any content obtained from the Services

  • Unauthorised access, use, or alteration of your transmissions or content

8.2 Limitation of Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

8.3 Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

9. Modifications to Terms

9.1 Updates to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our Website and updating the "Last Updated" date at the top. Your continued use of our Website and Services after any such changes constitutes your acceptance of the new Terms.

9.2 Review Responsibility

It is your responsibility to review these Terms periodically for changes. If you do not agree to the updated Terms, you must stop using our Services.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

10.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the rules of the London Court of International Arbitration, which rules are deemed to be incorporated by reference into this clause. The seat of arbitration shall be London, United Kingdom. The language of the arbitration shall be English.

10.3 Pre-Arbitration Resolution

Before initiating arbitration, you agree to attempt to resolve any disputes through good faith negotiations. Either party must first send a written notice describing the dispute and proposed resolution to the other party. If the parties cannot resolve the dispute within 30 days after receipt of the notice, either party may initiate arbitration.

12. Miscellaneous

12.1 Entire Agreement

These Terms, together with any service agreements or other legal documents expressly incorporated by reference, constitute the entire agreement between you and London SEO concerning your use of the Services.

12.2 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorised representative of London SEO.

12.3 Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

12.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction.

12.5 Force Majeure

We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including, but not limited to, acts of God, war, terrorism, riots, fire, natural disaster, pandemic, or unavailability of the Internet or telecommunications.
